1. Acceptance of Terms

If you do not agree with these Terms, please do not access or use the Site or our services. These Terms constitute a legally binding agreement between you and TransformCraft LLC, doing business as Operations Transformation HUB (“we,” “our,” “us”).

3. User Responsibilities

4. Service Engagement and Access

Access to our consulting services, including but not limited to Paid Diagnostics, Guardrails Installs, Transformation Engagements, and Monthly Retainer arrangements, is subject to the terms of your individual service agreement. Key conditions include:

Service agreements are entered into by a specific, named individual or business entity and are non-transferable.

You may not share login credentials, portal access, or grant unauthorized access to deliverables or proprietary tools to any third party.

Access to client portals, diagnostic reports, and engagement materials may be revoked upon termination of the service agreement or breach of these Terms.

Scheduling, scope, and deliverable timelines are governed by the specific service agreement executed between you and TransformCraft LLC.

5. Intellectual Property

All content, trademarks, and other intellectual property on the Site and within our deliverables — including but not limited to frameworks, diagnostic templates, process maps, toolkits, transformation playbooks, written reports, and marketing materials — are owned by TransformCraft LLC (doing business as Operations Transformation HUB) or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and any materials provided to you under a valid service agreement, solely for your internal business purposes. You may not:

Reproduce, distribute, or publicly display any proprietary content without our prior written consent

Modify, create derivative works from, or reverse-engineer any proprietary tools, templates, or frameworks

Resell, sublicense, or commercially exploit any materials provided under a service engagement

Remove or alter any copyright, trademark, or proprietary notices from any materials

6. Client-Submitted Content

In the course of our consulting engagements, you may submit operational data, business documents, process documentation, and other materials (“Client Content”) to facilitate our services. With respect to Client Content:

You retain full ownership of all Client Content you provide to us.

You grant us a limited, non-exclusive license to use, analyze, and process your Client Content solely for the purpose of delivering the contracted services.

We may use anonymized, aggregated, or de-identified data derived from engagements for research, benchmarking, case studies, and marketing purposes, provided that no individually identifiable business information is disclosed without your prior written consent.

You represent and warrant that you have the right to share the Client Content you provide, and that it does not infringe on the intellectual property rights of any third party.

You agree not to submit content that is defamatory, offensive, misleading, or that violates any applicable law.

7. Privacy Policy

8. Limitation of Liability

To the fullest extent permitted by applicable law, TransformCraft LLC (doing business as Operations Transformation HUB), its members, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to:

Your use of, or inability to use, the Site or our services

Any errors, omissions, or inaccuracies in content or deliverables

Any unauthorized access to or alteration of your data or transmissions

Any third-party conduct or content on the Site

In no event shall our total aggregate liability exceed the amounts you have paid to us under your active service agreement during the twelve (12) months immediately preceding the event giving rise to the claim.

9. Disclaimers

The Site and all services are provided “as is” and “as available” without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that:

The Site will be error-free, uninterrupted, or free of harmful components

Any specific business outcomes, revenue improvements, or operational results will be achieved through our consulting services

Recommendations, frameworks, or deliverables will be suitable for your specific circumstances without your own independent evaluation

Our consulting services are advisory in nature. Implementation decisions and their outcomes remain your sole responsibility.

10. Termination

We reserve the right to terminate or suspend your access to the Site and our services, without prior notice or liability, for any reason, including but not limited to:

Breach of these Terms or any applicable service agreement

Non-payment of fees due under a service agreement

Conduct that we determine, in our sole discretion, to be harmful to our business, reputation, or other clients

Upon termination, your right to access the Site and any client portal or deliverables will cease immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall remain in full force and effect.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, USA, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state and federal courts located in Dallas County, Texas. You irrevocably consent to the personal jurisdiction of such courts.

12. Dispute Resolution

Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation for a period of thirty (30) days following written notice of the dispute. If the dispute cannot be resolved through negotiation, either party may pursue resolution through the courts specified in Section 11.

You agree to indemnify, defend, and hold harmless TransformCraft LLC (doing business as Operations Transformation HUB), its members, officers, employees, contractors, and affiliates from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your use of the Site or our services

Your violation of these Terms or any applicable law

Your infringement of the rights of any third party

Any Client Content you submit to us

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall otherwise remain in full force and effect.

15. Waiver

The failure of TransformCraft LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of TransformCraft LLC.

16. Entire Agreement

These Terms, together with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and TransformCraft LLC regarding your use of the Site and our services. These Terms supersede all prior or contemporaneous understandings, agreements, or representations, whether written or oral, relating to the subject matter herein.
